Owner Agreement

The terms under which Car Owners list and lease their vehicles through ZeroLease. Acceptance is captured via OTP and is legally binding under the Information Technology Act, 2000 and the Indian Contract Act, 1872.

  1. 1. Nature of the Platform & Role of ZeroLease

    ZeroLease operates a platform connecting car Owners with monthly Lessees and acts as the exclusive managing agent for listings, bookings and payments on the listed Vehicle. The Vehicle remains the property of the Owner; ZeroLease is a management and payment-collection agent. ZeroLease is entitled to a 5% commission on monthly rent; the Owner receives 95%.

  2. 2. Owner Eligibility, KYC & Vehicle Eligibility

    Owner must be the registered owner (or duly authorised) and must complete KYC (ID, address, PAN, bank details, vehicle documents). The Vehicle must have valid RC, no unresolved hypothecation issues (or NOC), valid PUC and insurance, be roadworthy, and meet ZeroLease's onboarding age limits. ZeroLease may reject, suspend or delist any Vehicle at its discretion.

  3. 3. Rent, Commission & Payouts

    Monthly Rent is set in consultation with ZeroLease based on market factors and vehicle condition. ZeroLease collects the full Rent from the Lessee, retains a 5% commission, and disburses 95% to the Owner within 7 working days of successful handover, subject to no unresolved disputes. Payouts are subject to TDS and applicable statutory deductions. The Owner is responsible for their own tax compliance.

  4. 4. Mandatory Insurance & GPS Requirements

    Vehicle must have valid comprehensive motor insurance and a functional GPS device compatible with ZeroLease at all times during listing and leasing. Failure to maintain insurance or GPS is a material breach and may lead to suspension/delisting. If insurance claims are rejected due to Owner's lapse, the Owner bears repair costs and liability. GPS devices and data belong to ZeroLease unless agreed otherwise; tampering is prohibited.

  5. 5. Vehicle Listing, Availability & Booking Acceptance

    Owner must keep the Vehicle availability calendar accurate. Confirmed bookings are binding. Cancellation of a confirmed booking is permitted only for verified emergencies and may attract penalties, reduced visibility or delisting; the Owner may be liable for costs of arranging a replacement vehicle for the Lessee.

  6. 6. Handover Obligations & No-Delay Policy

    Vehicle must be handed over clean, fuelled, roadworthy, with valid documents and active GPS/Insurance, on time. Delays beyond 60 minutes incur penalties deductible from payouts. ZeroLease may offer compensation to the Lessee, recoverable from the Owner. Failure to hand over without a verified emergency is a serious breach attracting penalties, recovery of costs and termination.

  7. 7. Management of the Lessee Relationship

    ZeroLease is the sole point of contact for the Lessee for all lease-related matters. The Owner must NOT independently contact the Lessee or arrange payments outside ZeroLease's system — this is a material breach. ZeroLease's liability for Lessee default is limited to reasonable recovery efforts, unless a separate guarantee scheme is in place.

  8. 8. Vehicle Condition, Servicing & Roadworthiness

    Owner warrants the Vehicle is in good, safe, roadworthy mechanical condition with valid documents. Owner is responsible for scheduled servicing. ZeroLease may coordinate servicing at authorised centres with costs typically borne by the Owner. Owner is liable for Lessee complaints, refunds or penalties from undisclosed pre-existing damage or issues.

  9. 9. Damage, Accidents, Challans & Insurance Claims

    Damages determined to be the Lessee's responsibility will be recovered by ZeroLease and remitted to the Owner (less commission and recovery costs). Costs for normal wear and tear, pre-existing conditions, or mechanical defects not caused by the Lessee are borne by the Owner. Challans incurred during Lessee possession are recovered from the Lessee. Owner must forward any direct notices to ZeroLease and cooperate with insurers.

  10. 10. Vehicle Return, Inspection & Re-listing

    ZeroLease coordinates Vehicle return to the Owner with a final inspection report. The Owner must report any discrepancies in the inspection report within 24 hours of return; failure to do so means accepting the recorded condition. Vehicles can be re-listed after return and necessary checks.

  11. 11. Owner Obligations & Restrictions

    Owner must not list the same Vehicle on other platforms simultaneously without disclosure. Owner must promptly update ZeroLease on changes to vehicle documents, ownership, contact or bank details. Owner must not accept payments outside ZeroLease's system, contact Lessees directly during a lease (except genuine emergencies), maintain Lessee confidentiality, and ensure the Vehicle is free of personal belongings before handovers.

  12. 12. Term, Withdrawal & Termination

    The agreement is effective from onboarding/listing until terminated. Owner may withdraw the Vehicle with 30 days' written notice; active leases must complete unless ZeroLease arranges replacement. ZeroLease may terminate immediately for breaches related to insurance/GPS, handover, bypassing the platform, false documents, illegal use, or reputational risk.

  13. 13. Limitation of Liability & Indemnity

    ZeroLease does not guarantee minimum occupancy or revenue. The Owner indemnifies ZeroLease against claims arising from Owner's breach, undisclosed vehicle defects, lapsed insurance/GPS, or third-party claims related to vehicle title or condition. ZeroLease's aggregate liability to the Owner is capped at the total ZeroLease commission earned in the preceding 3 months prior to the claim event.

  14. 14. Data, Privacy & Communications

    Owner consents to ZeroLease collecting, storing and processing their data per the Privacy Policy. Owner consents to receive transactional, payout, and service communications via SMS/email/WhatsApp regardless of DND registration.

  15. 15. Dispute Resolution & Governing Law

    Governed by the laws of India. Disputes will be attempted to be resolved by good-faith negotiation; failing which, arbitration under the Arbitration and Conciliation Act, 1996 with a sole arbitrator appointed by ZeroLease, seated at Indore, Madhya Pradesh. Courts at Indore have exclusive jurisdiction.

  16. 16. General Provisions

    Acceptance via OTP/click-to-accept is legally binding under the IT Act, 2000 and the Indian Contract Act, 1872. ZeroLease may amend terms; continued listing implies acceptance. Invalid provisions do not affect the rest of the agreement. This document, onboarding terms and Privacy Policy form the complete agreement. Owner cannot assign rights/obligations without ZeroLease's consent.

Signing this Agreement

When you list your first car on ZeroLease, you electronically sign this agreement via OTP after entering your vehicle documents (Chassis, Engine, RC) and bank payout details. A signed PDF copy is stored on your owner profile and emailed to you with a unique signature reference (e.g. ZLO-XXXXXXXX-YYYYMMDD…).
